Terms of Service
Effective Date: January 1, 2025
Please read these Terms of Service (“Terms”) carefully before using the Media Digital Pro platform or purchasing digital tokens. By creating an account or making a purchase, you agree to be bound by these Terms in full.
1. Acceptance of Terms
These Terms constitute a legally binding agreement between you (“User,” “you”) and Media Digital Pro (“MDP,” “we,” “us”). If you do not agree to all of these Terms, you must not use the platform or purchase tokens.
2. Eligibility
You must be at least 18 years of age to use MDP services and purchase tokens. By using the platform, you represent and warrant that you meet this age requirement and have the legal capacity to enter into this agreement.
3. The MDP Token System
MDP operates a digital content platform where access to individual content items is purchased using MDP tokens. Tokens are sold at a price of 1 token = $1.00 USD. Tokens are credited to your account upon successful payment and are consumed immediately when used to unlock specific content items.
4. ⚠️ Tokens Have No Real-World Value — Critical Notice
4.1 No Monetary Value. MDP tokens have NO monetary value, cash value, exchange value, or real-world value of any kind. The 1:1 USD pricing reflects only the purchase price of tokens — it does not represent or assign any real-world monetary value to the tokens themselves.
4.2 No Redemption. Tokens are NOT and will NEVER be redeemable, exchangeable, or convertible for: (a) cash or fiat currency of any kind; (b) cryptocurrency or digital assets; (c) gift cards; (d) merchandise; (e) services outside the MDP platform; or (f) any other item of real-world monetary value. This applies under all circumstances without exception.
4.3 Not an Investment. Tokens are not an investment, security, commodity, or financial instrument of any kind. Do not purchase tokens expecting future financial gain. Token prices and availability may change at any time without notice.
4.4 Not Currency. Tokens are not currency, legal tender, or a medium of exchange for any purpose outside the MDP platform.
5. All Sales Are Final — No Refunds
ALL PURCHASES OF MDP DIGITAL TOKENS ARE 100% FINAL, NON-REFUNDABLE, NON-REVERSIBLE, AND NON-EXCHANGEABLE. NO REFUNDS WILL BE ISSUED UNDER ANY CIRCUMSTANCES, INCLUDING BUT NOT LIMITED TO: ACCIDENTAL PURCHASE, CHANGE OF MIND, UNUSED TOKENS, ACCOUNT SUSPENSION, PLATFORM CHANGES, OR TECHNICAL ISSUES.
By completing a purchase, you explicitly waive any right to dispute, reverse, or request a refund for that transaction. Initiating a chargeback or payment dispute for an MDP token purchase is a violation of these Terms. MDP maintains detailed transaction records and will contest all invalid chargebacks. Accounts found to have filed invalid chargebacks may be permanently terminated.
6. Content Access License
When you use tokens to unlock a content item, MDP grants you a limited, non-exclusive, non-transferable, personal license to access that content for your personal, non-commercial use. You may not: reproduce, distribute, publicly display, resell, or create derivative works from any MDP content.
7. Payments
All payments are processed in US Dollars (USD) through GoDaddy Payments. You authorize MDP to charge your selected payment method for the full amount displayed at checkout. You represent that you are authorized to use the payment method provided.
8. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at support@mediadigitalpro.com if you suspect unauthorized access to your account.
9. Prohibited Conduct
You agree not to: (a) use the platform for any unlawful purpose; (b) attempt to circumvent content access controls; (c) share account credentials; (d) resell or commercially exploit platform content without written authorization; (e) use automated tools to scrape or access the platform; (f) attempt to assign real-world value to tokens in any commercial context.
10. Disclaimer of Warranties
THE MDP PLATFORM, TOKENS, AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MDP DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MDP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. MDP’S TOTAL CUMULATIVE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC TOKEN PURCHASE GIVING RISE TO THE CLAIM.
12. Modifications
MDP reserves the right to modify these Terms at any time. Material changes will be communicated to registered users by email. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
13. Termination
MDP may suspend or terminate your account at any time for violation of these Terms. Upon termination, your right to access the platform ceases. Unused token balances are forfeited upon termination for cause, as tokens have no monetary value.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States. Any dispute arising from or relating to these Terms or your use of the platform shall be resolved by binding individual arbitration. You waive any right to participate in class action proceedings.
